Creator Terms for Sellout Crowds

The Creator Terms (the "Creator Terms") represent a legal contract that binds you ("Creator" or "you") and Sellout Crowds ("Sellout Crowds," "we," "us," or "our") and that rules your access to the Service's (as defined in our Terms of Service) monetization tools and features. These Creator Terms also extend the Terms of Service and Privacy Policy by means of incorporation by reference. In case of any inconsistency between the Creator Terms and the Terms of Service, the former will prevail when it comes to the monetization features.
By purchasing a Creator Package or using any monetization options (for instance, creating paid communities or charging users for access), you concur with the Creator Terms. Non-agreeing parties are not allowed to use the monetization features.
1. Eligibility
In addition to the eligibility requirements in our Terms of Service (including being at least 18 years of age), you must maintain a valid account in good standing to access monetization tools. You represent and warrant that you are not located in a country subject to U.S. Government embargoes or designated by the U.S. Government as a "terrorist supporting" country, and that you are not listed on any U.S. Government list of prohibited or restricted parties.
2. Creator Packages and Monetization Tools
2.1. Subscription to Creator Packages
To gain access to monetization tools, it is required that you subscribe to a "Creator Package" either on a monthly or yearly basis. The packages offer various features including the possibility of creating paid communities, charging users for access, and other monetization tools. The specific features, tools, and the applicable Platform Fee (as defined below) for each Creator Package are specified on our "Pricing" page at beasellout.com/creators#pricing, which is incorporated into these Creator Terms by reference.
Being a subscriber to a Creator Package, you have the option to cancel your subscription whenever you want, however, no refunds for the unused days will be issued. If you cancel your subscription, the monetization tools will no longer be accessible to you after the end of your billing cycle which is currently active.
2.2. Your Obligations as a Creator
As a Creator, you agree to:
- Provide high-quality, original content that complies with our Terms of Service, including Community Standards and Prohibited Conduct.
- Fulfill all promises made to users who pay to join your communities or access your content (e.g., no "bait-and-switch" tactics where you collect payments without delivering promised content).
- Respond promptly to user inquiries and disputes related to your content or communities.
- Not use monetization tools for fraudulent purposes, including misleading users about the nature of your content or communities.
- Comply with all applicable laws, including anti-fraud, consumer protection, and financial regulations in your jurisdiction and internationally.
- No content that violates laws in the territory where your users might live can be posted or promoted, such laws being the ones related to hate speech, obscenity, or scams among others.
3. Third-Party Payment Processor (Stripe)
The processing of all the financial transactions that are related to monetization is done through our third-party payment processor, Stripe, Inc. ("Stripe") and its Stripe Connect service. To enable payment receipt, a valid Stripe Connect account must be created, connected, and maintained by you. As a result of your usage of the monetization tools, you will be subject to the terms of the Stripe Connected Account Agreement (https://stripe.com/legal/connect-account) and any other related Stripe terms that might be amended or changed by Stripe from time to time.
Sellout Crowds is not involved in your contract with Stripe and in no way is it responsible for the performance of Stripe, which includes, among others, any payment-related delays, errors, or disputes. It is solely your responsibility to check your Stripe account and to make sure that you meet Stripe's requirements.
4. Platform Fees and Payouts
Upon payment of user joining or content accessing fees, the payment will go through Stripe Connect as a user payment. During the transaction, Sellout Crowds will keep its "Platform Fee" automatically. Your active Creator Package, as specified on our Pricing page, determines the Platform Fee (6%-10%).
The User Payment balance, after deducting any applicable charges by Stripe, will be simultaneously transferred to your Stripe account linked to your account. Sellout Crowds does not hold or take Creator's funds so that there will be no minimum withdrawal limits or payout schedules set by us. Payouts will be done under Stripe's policy and rules, which might include holds or reviews.
You agree that payouts may be delayed while checking for fraud, chargebacks, or other similar issues dealt with by Stripe.
5. Refunds and Disputes
All matters pertaining to User Payments, including requests for refunds, are between you (the Creator) and the user only. As User Payments are directly transferred to your Stripe account and Sellout Crowds does not have access to these funds, there is no way for us to handle or give out refunds.
It is mandatory for the users to initiate a refund request directly with you. In case a user contacts us regarding an unresolved dispute at [email protected], we may (but aren’t obliged to) step in and offer mediation. It will be entirely up to us to decide whether we want to get involved or not. Creators who receive several credible allegations about engaging in fraudulent activities, not delivering promised content, or breaching these Creator Terms may have their Creator Package, monetization access, and/or account subject to review, suspension, or termination as per our Terms of Service.
You are prohibited from avoiding platform fees by prompting users to make payments off the platform.
6. Taxes
As a user of the Service, it is your exclusive duty to identify, inform, and pay all the local, state, federal, and international taxes that apply to the income you earned through the Service. Sellout Crowds won't retain any amount for taxes and won't be responsible for giving any guidance on tax liabilities. We could issue transaction records to help you with tax compliance, but it is still necessary for you to seek a tax professional's advice.
In case the law obliges it (for example, U.S. IRS regulations or their international counterparts), we may disclose your earnings to the tax offices.
7. Service Levels and Availability
Our goal is to give users dependable access to monetization tools but we cannot assure constant use of the service. There might be service interruptions as a result of maintenance, updates, or unexpected problems. We cannot be held responsible for any loss of income resulting from service disruptions.
8. Suspension or Termination of Creator Access
In addition to the suspension and termination rights in our Terms of Service, we may suspend or terminate your access to monetization tools or Creator Packages for violations of these Creator Terms, including but not limited to:
- Fraudulent activity or misleading users.
- Repeated disputes or refund requests.
- Non-compliance with Stripe terms.
- Violations of content standards.
In case of suspension or termination, you shall be deprived of the access to monetization features but any earned funds that have already been paid through Stripe belong to you (subject to Stripe’s terms).
9. Changes to These Creator Terms
At any time, these Creator Terms may be changed by us. You will receive an email notification informing you of the upcoming changes and giving you at least one (1) day's time before the changes take place. After the effective date, your continued use of the monetization tools will imply your acceptance.
10. Governing Law
These Creator Terms are subject to the laws of the State of Delaware, as outlined in our Terms of Service.
