Terms of Service for Sellout Crowds

The Terms of Service (the "Terms") apply to your access and use of the website, applications, and services (the "Service" collectively) that are provided by Sellout Crowds ("Sellout Crowds," "we," "us," or "our"). The Service is a social media platform that combines the community-building aspect, content sharing, discussions, and monetization features.
By using, browsing, or accessing the Service you ("User" or "you") agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you will not be allowed to access or use the Service.
The Terms are applicable to every user of the Service regardless if they are a general user or a Content Creator (as described in our separate Creator Terms). In case you are a Content Creator benefiting from the monetization feature, it is required that you agree to our Creator Terms, which are in addition to these Terms.
1. Eligibility and Age Requirement
The Service is not intended for use by minors. You must be at least eighteen (18) years of age (or the age of legal majority in your jurisdiction, if higher) to create an account and use the Service. By using the Service, you represent and warrant that you meet these eligibility requirements and that you have the legal capacity to enter into these Terms.
2. User Accounts
2.1. Account Creation
You may be required to register for an account to access certain features of the Service. You may use a pseudonym or username that is not your real name. While you may create more than one account, you are limited to one user profile per account.
2.2. Account Responsibility
You are solely responsible for all activity that occurs under your account. You agree to:
- Provide accurate and up-to-date information during registration.
- Maintain the security and confidentiality of your password and login credentials.
- Immediately notify Sellout Crowds at [email protected] if you discover or suspect any unauthorized use of your account or any other breach of security.
- Accept all risks of unauthorized access to your account and the information you provide to us.
3. Community Standards & Prohibited Conduct
As a condition of your use of the Service, you agree not to:
- Post, upload, or distribute any content that is unlawful, defamatory, libelous, inaccurate, or that a reasonable person could deem to be objectionable, profane, indecent, pornographic, harassing, threatening, hateful, or otherwise inappropriate.
- Engage in any behavior that constitutes harassment, hate speech, bullying, stalking, or threats against other users.
- Post or transmit any form of "spam," including unsolicited advertising, promotional materials, junk mail, or chain letters.
- Distribute viruses, malware, worms, or any other destructive or harmful software or code.
- Attempt to phish or harvest user credentials or personal information.
- Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity.
- Post illegal content, including but not limited to content that infringes on any third-party copyright, trademark, or intellectual property right, or content that depicts or promotes illegal activities or child sexual exploitation.
- Use any robot, spider, scraper, or other automated means to access the Service, or "scrape" or "crawl" data from the Service without our express written permission.
- Interfere with or disrupt the operation of the Service or the servers and networks connected to it.
- Engage in any fraudulent purpose, including but not limited to using stolen credit cards, engaging in "get rich quick" schemes, pyramid schemes, or any other deceptive practices.
- Use the Service to engage in or facilitate any form of money laundering or other illicit financial activities.
- Engage in any action designed to bypass, circumvent, or avoid the payment of any fees owed to Sellout Crowds (e.g., advertising off-platform payment methods to subscribers to avoid platform fees).
4. User-Generated Content (UGC)
4.1. Your Ownership of Content
You retain all ownership rights to the content you create, post, or upload to the Service, including posts, images, videos, and comments ("User Content").
4.2. License Grant to Sellout Crowds
To operate and provide the Service, you grant Sellout Crowds a non-exclusive, worldwide, royalty-free, perpetual, irrevocable, sublicensable, and transferable license to use, host, store, display, reproduce, modify, adapt, publish, distribute, and create derivative works from your User Content. This license is for the limited purpose of operating, promoting, and improving the Service. For example, this allows us to show your posts to other users and to use a clip from your public community to create a "highlight reel" to promote Sellout Crowds.
5. Content Moderation and Enforcement
We are not obligated to screen or monitor User Content, but we reserve the right to review, moderate, and remove content at our discretion.
5.1. Content Removal
We reserve the right, but do not have the obligation, to remove or block any User Content for any reason or no reason, at any time, without prior notice. This includes content that we believe violates these Terms or our Community Standards. We may use a combination of automated systems (such as flagging based on user reports) and human moderation.
5.2. Account Suspension & Termination
We reserve the right to suspend or terminate your account and your access to the Service at our sole discretion, for any reason or no reason, including for any violation of these Terms.
- An account may be suspended indefinitely while we conduct a review of its activity.
- Following a review, we reserve the right to maintain an indefinite suspension or to permanently terminate the account.
5.3. Appeals
If you believe your content was removed or your account was suspended in error, you may appeal the decision by contacting our team at [email protected]. We will review the appeal but make no guarantee as to the outcome or timing of such a review.
6. Sellout Crowds Intellectual Property
The Service itself, including the name "Sellout Crowds," our logos, branding, designs, and all website code, features, and functionality (collectively, the "Platform IP") are the exclusive property of Sellout Crowds and its licensors. You may not use, copy, reproduce, modify, or distribute any Platform IP without our explicit written permission.
7. Copyright and DMCA Policy
Sellout Crowds respects the intellectual property rights of others and expects its users to do the same. We will respond to notices of alleged copyright infringement that comply with the Digital Millennium Copyright Act ("DMCA").
7.1. DMCA Takedown Notification
If you are a copyright owner and believe that any content on our Service infringes upon your copyright, you may submit a notification to our Designated Copyright Agent at [email protected]. To be effective, the notification must be in writing and include the following:
a) A physical or electronic signature of a person authorized to act on behalf of the owner of the copyright that is allegedly infringed.
b) Identification of the copyrighted work claimed to have been infringed (e.g., a link to your original work).
c) Identification of the material that is claimed to be infringing and that is to be removed, and information reasonably sufficient to permit us to locate the material (e.g., a link to the infringing content on our Service).
d) A detailed explanation of the complaint.
e) Your contact information, including your address, telephone number, and email address.
f) A statement that you have a "good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law."
g) A statement that "the information in the notification is accurate, and under penalty of perjury, that you are authorized to act on behalf of the owner of an exclusive right that is allegedly infringed."
7.2. DMCA Counter-Notification
If you believe that your content that was removed is not infringing, or that you have the authorization from the copyright owner, you may send a counter-notice to our Copyright Agent at [email protected] containing the following information:
a) Your physical or electronic signature.
b) Identification of the content that has been removed.
c) A statement under penalty of perjury that you have a "good faith belief that the content was removed as a result of mistake or a misidentification."
d) Your name, address, telephone number, and email address.
e) A statement that you consent to the jurisdiction of the federal court in Delaware and that you will accept service of process from the person who provided the original infringement notification.
7.3. Repeat Infringer Policy
Sellout Crowds will terminate, in appropriate circumstances, the accounts of users who are determined to be repeat infringers. An account will be suspended after three (3) violations.
8. Disclaimers; No Warranties
THE SERVICE IS PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, SELLOUT CROWDS, ITS AFFILIATES, AND ITS OFFICERS, DIRECTORS, AND AGENTS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICE AND YOUR USE THEREOF, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
WE MAKE NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY OR COMPLETENESS OF THE SERVICE'S CONTENT OR THE CONTENT OF ANY SITES LINKED TO THE SERVICE. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE SECURE OR FREE FROM BUGS OR VIRUSES, OR THAT IT WILL ALWAYS BE AVAILABLE OR UNINTERRUPTED.
9. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL SELLOUT CROWDS, ITS AFFILIATES, OFFICERS, DIRECTORS, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING DAMAGES FOR LOSS OF PROFITS, GOODWILL, OR ANY OTHER INTANGIBLE LOSS) ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF, OR YOUR INABILITY TO ACCESS OR USE, THE SERVICE OR ANY CONTENT ON THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.
OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT OF FEES (IF ANY) PAID BY YOU TO SELLOUT CROWDS IN THE SIX (6) MONTHS PRIOR TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).
10. Indemnification
You agree to defend, indemnify, and hold harmless Sellout Crowds, its affiliates, and their respective officers, directors, employees, and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from:
a) Your use of and access to the Service;
b) Your violation of any term of these Terms;
c) Your User Content, particularly any User Content that infringes on a third-party copyright or other intellectual property right;
d) Your violation of any third-party right, including without limitation any privacy or intellectual property right; or
e) Any dispute or issue between you and another user.
11. Termination
You may terminate this legal agreement with Sellout Crowds at any time by deleting your account and discontinuing your use of the Service.
We may suspend or terminate your account or cease providing you with all or part of the Service at any time for any reason, as stated in Section 5.2.
Upon termination, all licenses and rights granted to you in these Terms will immediately cease. However, certain provisions will survive termination, including, but not limited to: Section 4.2 (License Grant), Section 6 (Sellout Crowds IP), Section 8 (Disclaimers), Section 9 (Limitation of Liability), Section 10 (Indemnification), and Section 13 (Governing Law).
12. Changes to These Terms
We reserve the right to modify these Terms at any time. If we make changes, we will notify you via the email address associated with your account. The email will be sent with no less than one (1) day's notice before the new terms become effective.
Your continued use of the Service after the effective date of the new terms will constitute your acceptance of the changes. If you do not agree to the new terms, you must stop using the Service and delete your account.
13. Governing Law and Jurisdiction
These Terms, and any dispute arising out of or related to them, will be governed by the laws of the State of Delaware, without regard to its conflict of laws provisions. You agree to submit to the personal and exclusive jurisdiction of the state and federal courts located in Delaware for the resolution of any lawsuit or court proceeding permitted under these Terms.
14. Miscellaneous
14.1. Entire Agreement
These Terms, together with our Privacy Policy and, if applicable, our Creator Terms, constitute the entire agreement between you and Sellout Crowds regarding your use of the Service.
14.2. Severability
If any provision of these Terms is found by a court of competent jurisdiction to be invalid or unenforceable, the parties nevertheless agree that the court should endeavor to give effect to the parties' intentions as reflected in the provision, and the other provisions of the Terms remain in full force and effect.
14.3. No Waiver
Any failure by Sellout Crowds to exercise or enforce any right or provision of these Terms will not constitute a waiver of that right or provision.
14.4. International Use
The Service is controlled and operated from the United States. We make no representations that the Service is appropriate or available for use in other locations. Those who access or use the Service from other jurisdictions do so at their own risk and are responsible for compliance with local laws. To the extent permitted by law, these Terms are intended to comply with applicable international regulations, including data protection laws such as the General Data Protection Regulation (GDPR) in the European Union.
